Corporate Law Advisory and Drafting Agreements

Our Firm advises and provides services on various aspects of the Corporate Laws which includes but does not limit to:-

1. Compliance Management:Our firm assist in management of compliance of all types of companies according to the applicable laws like Companies Act 2013, SEBI Regulations, Foreign Exchange Management Act and other various laws.

2. Corporate Governance: Formulation and implementation of corporate governance policies and ensure compliance with relevant guidelines and codes. We also advise the board of directors on matters of corporate governance and ethical practices.

3. Statutory Filings and Returns:We are responsible for preparing and filing various statutory forms, returns, and reports with regulatory authorities on behalf of our clients to various regulatory authority like Ministry of Corporate Affair (MCA), Reserve Bank of India (RBI), and other various regulatory authorities.

4. Secretarial Audit: We do perform secretarial audits and provide reports to the board of directors highlighting any non-compliance or irregularities, this enables the board of directors to take measures to mitigate the consequences of any technical error, commission or omission, violation or contravention, breaches and non-compliances that might have been committed unknowingly. It gives an assurance to the management that all essential laws, rules, regulations and provisions of law as applicable to the company and any particular event or action thereto have been duly complied with but also to impart necessary confidence in its stakeholders that their interest is being taken care of.

5. Drafting of Agreements: We do play instrumental role in drafting of agreement, drafting & vetting other allied agreements i.e. Agreement of data processing, share purchase agreement, technical assistance agreement, shareholders. Agreement, special purpose vehicle (SPV) agreement etc.

6. Security Law Compliance advisory and Management: We assist, advice and provide services for Annual and event based Compliances mentioned in SEBI Regulations, circulars, notification and rule for corporates.

7. Statutory Registers and Records: We maintain registers and records on behalf of clients and provide guidance to maintain.

8. Board, Committee and Shareholders Meetings: We do assist and facilitate the smooth functioning of board meetings, committees, and general meetings of the company. We do prepare agendas, draft minutes of meetings, and maintain records related to meetings and resolutions. Additionally, we provide guidance on corporate governance practices and ensure adherence to procedural requirements.

9. Advisory Services: We provide expert advice and guidance to the board of directors on various legal and regulatory matters. We assist in interpreting the Companies Act and other applicable laws, drafting legal documents, and ensuring compliance with legal and regulatory requirements.
